Scope & Acceptance

These Terms of Service ("Terms") govern your use of Denly, a productivity and business management application operated by BanioBits, Switzerland. By creating an account or using Denly, you agree to these Terms. If you do not agree, please do not use our service.

Minimum Age

You must be at least 16 years old to use Denly. This aligns with GDPR Article 8 requirements for digital services. If you are under 16, please do not create an account.

Account Responsibility

You are responsible for maintaining the security of your account

  • Provide accurate and complete registration information
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized account access
  • You are responsible for all activities under your account

Your Content

You retain full ownership of all content you create in Denly, including tasks, notes, projects, and any other data you enter.

By using Denly, you grant us a limited license to store, display, and process your content solely for the purpose of providing and improving the service.

We will never use your content for advertising or sell it to third parties.

Denly Does NOT Provide

  • Medical advice or diagnosis
  • Therapeutic or counseling services
  • Mental health treatment
  • Crisis intervention or emergency services

Acceptable Use

When using Denly, you agree not to

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Attempt to gain unauthorized access to our systems
  • Use the service to distribute malware or harmful content
  • Abuse, harass, or harm other users or our staff
  • Use automated tools to access the service without permission

Service Availability

We strive to provide reliable and consistent access to Denly. However, we cannot guarantee uninterrupted availability.

The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We'll notify you of planned maintenance whenever possible.

Limitation of Liability

To the maximum extent permitted by applicable law

  • Denly is provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim
  • We are not responsible for decisions you make based on data in the app

These limitations do not affect your statutory consumer rights under applicable law.

Pro

EUR 8/month or EUR 80/year

Full features, unlimited usage

Lifetime

EUR 149 (one-time)

All Pro features forever, plus self-hosting rights

Pro subscriptions are billed monthly or annually in advance. Prices are in Euros (EUR).

If we increase prices, your current rate is locked in as long as your subscription remains active.

Refunds & Cancellation

We want you to be happy with Denly

14-Day Cooling-Off Period

EU/UK consumers can cancel within 14 days of purchase for a full refund, no questions asked. This is your legal right.

Cancellation

You can cancel your subscription anytime. Your access continues until the end of your billing period.

Lifetime License

Lifetime purchases are non-refundable after the 14-day cooling-off period, except where required by law.

Termination

By You

You can delete your account at any time from Settings. All your data will be permanently deleted within 30 days.

By Us

We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay for your subscription.

Effect of Termination

Upon termination, your right to access Denly ends. We'll retain your data for 30 days to allow for data export, then permanently delete it.

Changes to Terms

We may update these Terms from time to time. For significant changes, we'll notify you via email and in-app notification at least 30 days before the changes take effect.

Your continued use of Denly after changes take effect constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of Switzerland, specifically the Swiss Federal Data Protection Act (DSG) and Swiss Code of Obligations.

For EU consumers, mandatory consumer protection laws of your country of residence also apply.

Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.

EU consumers may also bring claims in the courts of their country of residence.
